Terms of Service

Please read these Terms of Service ("Terms") carefully before using OmniTrack ("Service", "we", "us", or "our"). By creating an account or using the Service, you agree to be bound by these Terms.

1. Acceptance of Terms

By registering for or using OmniTrack, you confirm that you are at least 18 years old, have the legal authority to enter into this agreement on behalf of your organization, and agree to comply with these Terms. If you do not agree, do not use the Service.

2. Description of Service

OmniTrack is a cloud-based employee time-tracking and productivity management platform. Features include:

• Employee clock-in / clock-out tracking
• AI-powered standup check-ins and end-of-day reports
• Productivity scoring and employee rankings
• Supervisor dashboards and data exports

We reserve the right to modify, suspend, or discontinue any part of the Service at any time with reasonable notice.

3. Account Registration

You must provide accurate and complete information when creating an account. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. Notify us immediately of any unauthorized use.

Each company account may have one supervisor login. You are responsible for how you manage and use employee data within your account.

4. Billing and Payment

OmniTrack operates on a per-seat monthly subscription. By subscribing, you authorize us to charge your payment method on a recurring monthly basis.

• Pricing: Billed monthly per active employee seat. Current rates are displayed on the registration page and may change with 30 days' notice.
• Seat count: Your subscription quantity automatically adjusts when you activate or deactivate employees.
• Failed payments: If a payment fails, your account will be flagged. Access may be suspended after a grace period if payment is not resolved.
• Cancellation: You may cancel at any time via the Billing section of your dashboard. Cancellation takes effect at the end of the current billing period. No partial refunds are issued for unused time.
• Refunds: All charges are non-refundable except where required by applicable law.

Payments are processed securely by Stripe. We do not store your payment card details.

5. Acceptable Use

You agree not to use OmniTrack to:

• Violate any applicable law or regulation
• Harass, discriminate against, or harm any individual
• Attempt to gain unauthorized access to our systems or other accounts
• Reverse engineer, copy, or resell any part of the Service
• Upload malicious code or interfere with the Service's operation

6. Data and Privacy

Your use of the Service is also governed by our Privacy Policy. By using OmniTrack, you consent to the collection and use of data as described therein. You are responsible for obtaining any required consent from your employees before tracking their time and productivity data.

7. Intellectual Property

OmniTrack and all associated software, designs, and content are owned by us and protected by intellectual property law. You are granted a limited, non-exclusive, non-transferable license to use the Service for your internal business purposes only.

You retain ownership of all data you input into the Service. You grant us a limited license to process that data solely to operate and improve the Service.

8. Termination

We may suspend or terminate your account immediately if you violate these Terms, fail to pay, or if we are required to do so by law. Upon termination, your access will cease and your data may be deleted after a reasonable retention period.

You may terminate your account at any time by canceling your subscription and contacting us to request data deletion.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE. AI-GENERATED CONTENT (SUMMARIES, SCORES, TASK CHECKS) IS PROVIDED FOR INFORMATIONAL PURPOSES AND MAY NOT BE ACCURATE.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OMNITRACK AND ITS OWNERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES ARISING FROM YOUR USE OF THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY TO YOU FOR ANY CLAIM SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 3 MONTHS PRECEDING THE CLAIM.

11. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes via email or a notice in your dashboard. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.

12. Governing Law

These Terms are governed by the laws of the State of Virginia, without regard to its conflict of law provisions. Any disputes shall be resolved in the state or federal courts located in Virginia, and you consent to the exclusive jurisdiction of those courts.
